MBA ASAP Terms of Service

Welcome to MBA ASAP, a learning platform designed to help you accelerate your business education. By accessing or using our platform, you agree to comply with and be bound by these Terms of Service. Please read them carefully.
1. Acceptance of Terms
By registering, accessing, or using MBA ASAP, you accept and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply. If you do not agree to these terms, you must not use the platform.
2. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of MBA ASAP following the posting of changes constitutes your acceptance of such changes.
3. Description of Services
MBA ASAP provides access to educational content, including courses, webinars, articles, and other materials (collectively, “Content”). The Content is designed to provide business education and related information. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.
4. Registration and Account Security
4.1. Account Registration
To access certain features of the platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.2. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.3. Termination of Account
We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to MBA ASAP or other users.
5. User Conduct
5.1. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
• Using the platform for any unlawful purpose or in violation of any local, state, national, or international law.
• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Accessing or using the platform for any commercial purpose without our express written consent.
• Interfering with or disrupting the platform or servers or networks connected to the platform.
• Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
5.2. User Content
You retain all rights to the content you submit, post, or display on or through the platform (“User Content”). By submitting User Content, you grant MBA ASAP a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the platform.
5.3. Monitoring and Enforcement
We have the right to:
• Remove or refuse to post any User Content for any or no reason at our sole discretion.
• Take any action with respect to any User Content that we deem necessary or appropriate at our sole discretion.
• Terminate or suspend your access to all or part of the platform for any or no reason, including without limitation, any violation of these Terms of Service.
6. Intellectual Property Rights
6.1. Ownership of Content
All Content on the platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software, is the property of MBA ASAP or its content suppliers and is protected by international copyright laws.
6.2. Trademarks
“MBA ASAP,” the MBA ASAP logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MBA ASAP or its affiliates or licensors. You must not use such marks without the prior written permission of MBA ASAP.
6.3. Limited License
MBA ASAP grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the platform and the Content for your personal, non-commercial use only. This license is subject to these Terms of Service and does not include any right to:
• Resell or make any commercial use of the platform or the Content.
• Copy, reproduce, distribute, publicly perform, or publicly display any Content, except as expressly permitted by MBA ASAP or its licensors.
• Modify or make any derivative uses of the platform or the Content, or any portion thereof.
• Use any data mining, robots, or similar data gathering or extraction methods.
• Download (other than page caching) any portion of the platform, the Content, or any information contained therein, except as expressly permitted on the platform.
Any unauthorized use of the platform or the Content terminates the permission or license granted by MBA ASAP.
7. Fees and Payment
7.1. Fees
Some parts of the platform may require payment of fees. You agree to pay all applicable fees, as described on the platform in connection with such Services selected by you. We reserve the right to change our fees at any time.
7.2. Payment
All fees are payable in advance and are non-refundable. MBA ASAP may use a third-party payment processor to process payments. You agree to provide MBA ASAP with accurate and complete billing information, including valid credit card information or other payment information.
7.3. Taxes
All fees are exclusive of any applicable taxes, and you are responsible for paying all taxes arising from your use of the Services.
8. Disclaimers and Limitation of Liability
8.1. No Warranty
The platform and the Content are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MBA ASAP does not warrant that the platform will be uninterrupted or error-free, that defects will be corrected, or that the platform is free of viruses or other harmful components.
8.2. Limitation of Liability
To the fullest extent permitted by law, MBA ASAP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
• Your use or inability to use the platform.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the platform.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party.
• Any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available through the platform.
8.3. Cap on Liability
In no event shall MBA ASAP’s aggregate liability for all claims related to the platform exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the total amount of fees received by MBA ASAP from you for the use of paid Services during the past six months.
9. Indemnification
You agree to defend, indemnify, and hold harmless MBA ASAP, its affiliates, and their respective directors, officers, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the platform, including but not limited to your User Content, any use of the platform’s Content, services, and products other than as expressly authorized in these Terms of Service or your use of any information obtained from the platform.
10. Governing Law and Dispute Resolution
10.1. Governing Law
These Terms of Service and any disputes arising out of or relating to these Terms of Service or the platform will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.
10.2. Dispute Resolution
Any dispute arising out of or relating to these Terms of Service or the platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and the arbitrator’s decision shall be enforceable in any court of competent jurisdiction. Each party shall bear its own costs and attorneys’ fees, and the arbitrator shall not have the authority to award attorneys’ fees unless expressly authorized by statute.
11. Miscellaneous
11.1. Entire Agreement
These Terms of Service, together with our Privacy Policy and any additional terms to which you agree when using the platform, constitute the entire agreement between you and MBA ASAP with respect to the platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and MBA ASAP.
